Masimo has offered to add one of Politan’s nominees to its board in exchange for a truce. Koffey had previously sought to remove Masimo’s CEO and another director. Last year, Koffey successfully won a proxy fight at the company, emphasizing the need for improved governance and CEO accountability. Masimo is currently planning a spin-off of its consumer technology division with a joint-venture partner.
